GENERAL SERVICE AGREEMENT

This GENERAL SERVICE AGREEMENT (the "Agreement" ) is made on this ____ day of __________________ 20____.

BETWEEN

AND

2. [FULL NAME OF CLIENT] , of ____________________________________________, [Company Registration No. __________________, where applicable] (the "Client" ).

The Service Provider and the Client are collectively referred to as the "Parties" and individually as a "Party."

BACKGROUND

WHEREAS:

1. The Client wishes to engage the Service Provider to provide the services described in this Agreement.

2. The Service Provider represents that it has the necessary skills, experience, qualifications and resources to provide those services.

3. The Parties wish to record the terms and conditions governing the provision of those services.

IT IS AGREED as follows:

1. DEFINITIONS AND INTERPRETATION

1.%2. Definitions

In this Agreement, unless the context otherwise requires:

"Business Day" means any day other than a Saturday, Sunday or public holiday in the Republic of Ghana.

"Commencement Date" means the date specified in Clause 2. 2 .

"Confidential Information" means all information disclosed by one Party to the other in connection with this Agreement, which is not publicly available, including business information, financial information, customer information, trade secrets, technical information, know-how and other proprietary information.

"Deliverables" means all documents, reports, designs, drawings, software, materials, work product or other outputs produced by the Service Provider under this Agreement.

"Fees" means the fees payable by the Client under this Agreement.

"Services" means the services described in Clause 2 and any additional service agreed by the Parties in writing.

2.%2. Interpretation

Unless the context otherwise requires:

%2. H eadings are inserted for convenience only and do not affect interpretation;

%2. W ords importing the singular include the plural and vice versa;

%2. R eferences to one gender include the other gender; and

%2. R eferences to a person include an individual, partnership, company or other legal entity.

2. APPOINTMENT AND SCOPE OF SERVICES

The Client appoints the Service Provider to provide the Services described in this Agreement, and the Service Provider accepts that appointment upon the terms and conditions set out herein.

2.%2. Commencement

The Services shall commence on ______________________________ (the "Commencement Date" ), unless the Parties agree otherwise in writing.

1.%2.%3. The Parties may, at any time, agree in writing to vary the scope of the Services, Deliverables, Fees or completion timetable.

2.%2.%3. Any agreed variation shall form part of this Agreement.

7.%2. Independent Contractor

1.%2.%3. Nothing in this Agreement shall be construed as creating a relationship of employer and employee, partnership, joint venture, agency or fiduciary relationship between the Parties.

2.%2.%3. The Service Provider shall act as an independent contractor at all times , unless otherwise expressly agreed in writing.

3. TERM

This Agreement shall commence on the Commencement Date and shall continue:
