INDEPENDENT CONTRACTOR AGREEMENT
THIS INDEPENDENT CONTRACTOR AGREEMENT ("Agreement" ) is made on this ____ day of __________ 20____.
BETWEEN
1. [CLIENT NAME] , a [company / sole proprietorship / partnership] incorporated or registered under the laws of the Republic of Ghana with registration number __________________ and having its registered or principal place of business at ______________________________ (the "Client" );
AND
2. [CONTRACTOR NAME], a [company / sole proprietorship / individual] having its registered or principal place of business at __________________________ (the "Contractor" ).
The Client and the Contractor are collectively referred to as the “Parties” and individually as a “Party.”
BACKGROUND
WHEREAS:
1. The Client wishes to engage the Contractor to provide certain independent services.
2. The Contractor has represented that it possesses the necessary qualifications, experience and expertise to perform those services.
3. The Parties wish to record the terms governing their relationship.
IT IS AGREED as follows:
1. APPOINTMENT
1.%2. The Client appoints the Contractor to perform the Services described in this Agreement, and the Contractor accepts that appointment on the terms set out herein.
2.%2. The Contractor shall perform the Services with reasonable skill, care, diligence and professionalism and in accordance with generally accepted industry standards.
2. SERVICES
1.%2. The Contractor shall provide the following services (the "Services" ):

2.%2. The Contractor shall devote such time and attention as is reasonably necessary to perform the Services properly.

3. TERM

4. FEES , EXPENSES AND PAYMENT

2.%2. Unless otherwise agreed in writing:
%3. T he Contractor shall submit invoices setting out the Services performed and the amount payable;

%3. P ayment shall be made by bank transfer or any other agreed payment method.
3.%2. Unless otherwise agreed in writing:

☐ the Client shall reimburse reasonable expenses that were approved in advance in writing.
4.%2. The Client shall not withhold payment of any undisputed amount due under this Agreement.
5.%2. Where the Client disputes an invoice in good faith, it shall notify the Contractor promptly in writing, specifying the reasons for the dispute. The undisputed portion of the invoice shall remain payable in accordance with this Agreement.
5. INDEPENDENT CONTRACTOR RELATIONSHIP
1.%2. The Parties acknowledge that the Contractor is engaged as an independent contractor and not as an employee , partner, agent or representative of the Client.
2.%2. Nothing in this Agreement shall be construed as creating:
%3. A contract of employment;
%3. A partnership;
%3. A joint venture; or
%3. An agency relationship .
3.%2. The Contractor shall:
%3. Determine its own working hours;
%3. Supply its own equipment and resources unless otherwise agreed;
%3. Be responsible for all taxes and business expenses arising from its operations; and
%3. Obtain and maintain all licences, permits and approvals required to perform the Services.
4.%2. The Contractor shall not be entitled to any employment benefits provided by the Client, including paid leave, pensions, bonuses, medical benefits or severance benefits.
6. CONTRACTOR'S OBLIGATIONS
1.%2. The Contractor shall:
1. P erform the Services with reasonable skill, care, diligence and professionalism;
2. U se appropriately qualified personnel where necessary to perform the Services;
3. C omply with all applicable laws, regulations and industry standards in carrying
